Woha Terms of Service

These Terms of Service govern your access to and use of Woha. Woha is operated by Woha Inc., a Delaware corporation. In these Terms, “Woha,” “we,” “us,” and “our” refer to Woha Inc. and the Woha Services.

If you do not agree to these Terms, do not access or use Woha.

About Woha and the marketplace

Woha is a local marketplace for people in and around U.S. college communities. It helps users discover, list, buy, sell, negotiate for, and arrange the pickup or seller-delivery of secondhand goods.

Unless a feature expressly states otherwise, Woha does not own, inspect, store, manufacture, or take title to items listed by users. The purchase agreement for a user-listed item is directly between the buyer and seller. Woha provides technology and may facilitate messaging, offers, order records, online payments, refunds, and transaction support.

The current marketplace supports buyer pickup and seller-provided delivery. Woha does not provide Woha-operated delivery, a general-purpose stored-value wallet, or an escrow account.

02 / Eligibility

Acceptance and eligibility

By creating an account, clicking to accept these Terms, accessing Woha, or using any website, mobile application, marketplace, messaging, offer, order, payment, pickup, seller-delivery, or related feature, you agree to these Terms and the Privacy Policy.

You must be at least 18 years old and legally able to enter into a binding agreement to use Woha. You may not use Woha if applicable law prohibits you from doing so, if you lack authority to act for an organization, or if your account has been suspended or terminated for a serious violation.

03 / Accounts

Accounts and account security

Some features require an account. You agree to:

  • Provide accurate, current, and complete information;
  • Keep login credentials and devices secure;
  • Use only accounts that you are authorized to use;
  • Promptly update information that changes;
  • Notify Woha of suspected unauthorized access; and
  • Accept responsibility for activity conducted through your account, except to the extent caused by Woha’s failure to use reasonable security measures.

You may not sell, rent, transfer, share, or sublicense your account. Woha may require identity, contact, payment, seller, or transaction verification when reasonably necessary for safety, fraud prevention, payment processing, or legal compliance.

04 / Roles

Buyer and seller roles

A single user may act as both buyer and seller. Buyers are responsible for reviewing listings, communicating clearly, paying as agreed, inspecting items, and completing pickup or receipt. Sellers are responsible for lawful ownership, accurate listings, permitted items, timely communication, and completing the selected pickup or seller-delivery method.

Woha does not guarantee the identity, reliability, creditworthiness, conduct, or performance of any user. Account, transaction, rating, or verification indicators are informational and are not endorsements or guarantees.

05 / Listings

Listings and seller responsibilities

When creating a listing, the seller must provide accurate and complete information, including the item’s condition, known defects, price, location area, available payment methods, and available delivery methods.

By listing an item, the seller represents and warrants that:

  • The seller owns the item or is authorized to sell it;
  • The item may be lawfully advertised, sold, transferred, and delivered;
  • The listing is truthful and not misleading;
  • Photographs show the actual item unless clearly identified otherwise;
  • Known material defects, missing parts, damage, restrictions, and safety issues are disclosed;
  • The item will remain available unless the listing is updated, removed, locked, or sold; and
  • The seller will comply with applicable product-safety, recall, tax, and consumer laws.

Woha may review, refuse, hide, edit for formatting, restrict, or remove a listing when it appears incomplete, unsafe, unlawful, fraudulent, misleading, prohibited, or inconsistent with these Terms.

06 / Prohibited items

Prohibited and high-risk items

You may not list, buy, sell, request, or facilitate items or services prohibited by law or Woha policy. Prohibited categories may include:

  • Alcohol, tobacco, nicotine products, cannabis, illegal drugs, drug paraphernalia, or controlled substances;
  • Prescription drugs, regulated medical products, or unsafe health products;
  • Firearms, ammunition, explosives, weapons, or dangerous weapon components;
  • Adult sexual products or explicit sexual content;
  • Counterfeit, stolen, pirated, recalled, or illegally imported goods;
  • Gift cards, stored-value instruments, tickets, financial products, or payment-account access;
  • Food, homemade food, or other regulated consumables unless Woha expressly permits the category;
  • Government identification, immigration documents, credentials, academic answers, cheating services, or fraudulent documents;
  • Hazardous materials, illegal wildlife products, or other regulated goods; and
  • Any item or service that creates an unreasonable safety, fraud, legal, or reputational risk.

Woha may designate additional categories as prohibited or high risk, require additional evidence, restrict online payment, delay or block a transaction, or require manual review.

07 / Messaging

Messaging and structured offers

Woha may provide messaging and structured offer tools for buyers and sellers to discuss an item, pickup, seller delivery, and price.

Messages are for communication, but the final transaction price and selected terms are the price and terms shown in the structured offer record and order confirmation. Informal statements in chat do not change an order unless the order is formally updated or canceled and recreated.

An offer, acceptance, or counteroffer may expire. A listing is not reserved merely because users are chatting or negotiating. Users may not use messaging to harass others, collect unrelated personal information, evade platform controls, or facilitate prohibited transactions.

08 / Orders

Orders and item locking

An order is created when the buyer confirms the final price and completes the steps required for the selected payment method and delivery method. Woha may mark the item as “in transaction,” “locked,” or a similar status to reduce duplicate sales.

For online payments, the item may be locked after successful payment. For offline payments, the item may be locked after the buyer confirms the offline transaction and the order is created. If an order is canceled, the item may return to active status. If the order is completed, the item may be marked sold.

Technical delays, simultaneous activity, payment failures, cancellations, or user misconduct can still result in an item becoming unavailable. Woha does not guarantee that every order or item lock will complete successfully.

09 / Payments

Payment methods, fees, and payouts

Woha may allow online payment and offline payment. The available methods may depend on the listing, seller eligibility, payment-provider support, order value, location, risk review, or other factors.

9.1 Online payments

Online payments are processed by Stripe or another payment provider. By using online payment, you authorize Woha and the payment provider to process the transaction and related fees, refunds, reversals, disputes, and transfers.

A seller may be required to create and maintain an eligible connected payment account, complete identity and tax verification, and accept the payment provider’s terms. The payment provider may suspend or restrict payment or payout capabilities.

Woha may schedule or delay transfer or settlement to the seller until buyer confirmation, automatic confirmation, or another order-completion event. Woha may pause transfer or payout while an order, refund, report, chargeback, fraud review, payment issue, or legal requirement is pending. This payment flow is not a bank account, stored-value account, or regulated escrow service provided by Woha.

Actual payout timing depends on the payment provider, connected-account status, risk controls, bank processing, weekends, holidays, and other factors outside Woha’s control.

9.2 Offline payments

For offline payment orders, the buyer and seller arrange and complete payment directly, which may include cash, Zelle, Venmo, PayPal, or another method they choose. Woha does not receive, hold, control, or guarantee recovery of offline funds.

Woha may record the agreed price, selected offline method, delivery arrangement, and order status. The parties are responsible for confirming that the payment is genuine and complete. Do not rely on screenshots or emails as proof of payment without independently verifying receipt of funds.

9.3 Platform service fees and processing fees

Woha may charge a platform service fee for online payment or other features. The order screen will display applicable item price, seller-delivery fee, Woha service fee, taxes, and total before the buyer confirms payment.

Payment processors may charge processing, payout, dispute, currency-conversion, instant-payout, or other fees. The party responsible for a fee will be shown in the applicable product flow or payment-provider terms where reasonably practicable.

9.4 Taxes

Users are responsible for taxes arising from their purchases, sales, income, or use of Woha, except for taxes that Woha is legally required to collect or pay. Woha or a payment provider may request tax information, issue tax forms, withhold amounts, or report transactions when required by law.

10 / Delivery

Pickup and seller delivery

The buyer selects a delivery method offered by the seller. Available methods may include buyer pickup and seller-provided delivery.

10.1 Buyer pickup

For buyer pickup, the parties must agree on a time and location. The buyer should inspect the item before taking possession whenever practical. Users should choose a safe meeting location, avoid unnecessary disclosure of private information, and follow applicable campus, building, parking, and property rules.

If the buyer is late or fails to appear, Woha may send reminders, allow rescheduling, permit cancellation, restore the listing, or record the event for trust and safety purposes.

10.2 Seller-provided delivery

Seller delivery is performed by the seller, not by Woha. The seller is responsible for setting an accurate delivery range, fee, availability, and delivery conditions, and for completing delivery safely and lawfully.

A buyer delivery address may be used to determine whether the address falls within the seller’s stated delivery range. Distance and address calculations may be approximate. The seller may not impose an undisclosed delivery fee or other additional charge after order confirmation.

10.3 No Woha-operated delivery

Unless Woha expressly launches and identifies a separate delivery service, Woha is not a carrier, courier, moving company, delivery employer, or delivery contractor.

Woha is not responsible for a seller’s driving, vehicle, licensing, insurance, loading, unloading, building access, installation, property damage, injury, or other conduct during seller delivery.

11 / Inspection

Inspection, acceptance, and item condition

Secondhand goods may show wear, age, defects, missing parts, or performance differences. Buyers are responsible for reviewing the listing, asking questions, requesting additional photographs, checking dimensions or compatibility, and inspecting the item at pickup or delivery when practical.

A buyer should not confirm receipt if the item has not been received or if the buyer intends to raise a material issue. Confirmation of receipt may trigger completion and seller settlement. This does not waive rights that cannot legally be waived, but it may affect remedies available under Woha’s policies.

12 / Refunds

Cancellations, refunds, and partial refunds

Cancellation and refund eligibility depends on payment method, order status, delivery status, the reason for cancellation, evidence, payment-provider rules, and applicable law.

Woha may issue or facilitate a full or partial refund for an online payment order when, for example, the seller fails to deliver, the transaction cannot be completed, the item is prohibited, the item materially differs from the listing, the parties agree, or Woha determines a refund is appropriate.

A refund generally may be denied when the buyer changes their mind after accepting the item, the disclosed condition is consistent with the listing, the buyer confirmed receipt after inspection, the request is untimely, or the issue concerns a platform-external promise not recorded in the order.

Offline payments are made directly between users. Woha may document or review the issue, but it does not guarantee recovery or reversal of offline funds. Refund processing times for online payments depend on the payment provider and the buyer’s financial institution.

13 / Reports

Reports, transaction issues, and platform review

Users may report prohibited items, fraud, harassment, non-delivery, material misdescription, damage, late delivery, unauthorized charges, or other transaction issues through available tools or by contacting support.

Woha may review listings, profiles, messages, offers, order records, payment status, photographs, screenshots, delivery evidence, and prior account activity. Woha may request additional evidence and may take actions including warning users, removing listings, restricting features, canceling orders, pausing seller settlement, issuing or denying refunds, recording risk events, or suspending accounts.

Woha’s review process is an internal platform process, not a court, arbitration service, insurer, law-enforcement agency, or guarantee of recovery. Users retain any rights available under law and may need to contact the payment provider, bank, campus authority, police, or a court when appropriate.

14 / Ratings

Ratings and reviews

After a completed order, Woha may allow buyers and sellers to rate or review each other. Reviews must be based on genuine transaction experience and must not contain threats, harassment, discrimination, private information, extortion, unrelated advertising, or knowingly false statements.

Woha may remove, hide, or restrict reviews that violate these Terms. Ratings and review summaries are informational only and do not guarantee future conduct or item quality.

15 / User content

User content

“User Content” includes listings, photographs, profile content, messages, offers, reviews, reports, evidence, feedback, and other content submitted to Woha. You retain ownership of your User Content.

By submitting User Content, you grant Woha a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, format, display, transmit, moderate, and create technical adaptations of the content as reasonably necessary to operate, secure, support, and improve the Services. Public listing content may be displayed and promoted within Woha and Woha-owned marketing channels to help users discover the listing or marketplace.

You represent that you own or have permission to submit the User Content and that it does not violate law, privacy, publicity, intellectual-property, contractual, or other rights. Woha may remove or restrict content that violates these Terms or creates risk.

16 / Prohibited conduct

Prohibited conduct

You may not use Woha to:

  • Violate any law, regulation, court order, campus rule, or third-party right;
  • List or transact in prohibited, stolen, counterfeit, unsafe, recalled, or fraudulently described items;
  • Misrepresent identity, ownership, item condition, payment, delivery, or transaction evidence;
  • Harass, threaten, stalk, discriminate against, exploit, or harm another person;
  • Collect or use another user’s personal information for unrelated purposes;
  • Send spam, unsolicited marketing, scams, phishing, malware, or malicious links;
  • Manipulate ratings, create fake accounts, evade restrictions, or coordinate fraudulent activity;
  • Interfere with payments, refunds, chargebacks, delivery, platform records, or another user’s transaction;
  • Reverse engineer, scrape, crawl, extract, or access the Services through unauthorized automated means;
  • Probe vulnerabilities, bypass access controls, overload systems, or compromise security;
  • Use Woha data or content to build a competing marketplace, database, or model without written permission; or
  • Encourage another person to violate these Terms.
17 / Safety

Safety and user interactions

Transactions may involve meeting strangers, entering pickup areas, carrying items, driving, or sharing an address. Users are responsible for using reasonable judgment and taking precautions. Consider meeting in a public or monitored location, telling someone where you are going, avoiding unnecessary cash or personal information, inspecting items before payment or acceptance, and ending an interaction that feels unsafe.

Do not use Woha for emergencies. If there is an immediate threat, suspected crime, injury, fire, or medical emergency, contact the appropriate emergency service or authority.

18 / Third-party

Third-party services

Woha may rely on or link to payment processors, identity providers, mapping applications, app stores, financial institutions, messaging or notification services, and other third parties. Their services are governed by their own terms and policies.

Woha is not responsible for a third party’s availability, security, accuracy, fees, verification decisions, payment holds, bank processing, account restrictions, maps, routes, or conduct, except to the extent responsibility cannot lawfully be excluded.

19 / License

License to use the app and Apple terms

Subject to these Terms, Woha grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Woha application on devices you own or control for lawful use of the Services. You may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works from the application except where applicable law prohibits the restriction.

19.1 Additional terms for Apple App Store users

If you download the application from Apple’s App Store, you acknowledge and agree that:

  • These Terms are between you and Woha Inc., not Apple;
  • Woha, not Apple, is responsible for the application and its content, support, maintenance, and any warranties provided by law;
  • Apple is not responsible for claims relating to the application, your possession or use of it, consumer-protection claims, or intellectual-property claims;
  • Your license is limited to use on Apple-branded products you own or control as permitted by the App Store usage rules;
  • You must comply with applicable third-party terms when using the application; and
  • Apple and its subsidiaries are third-party beneficiaries of this section and may enforce it against you.
20 / IP

Woha intellectual property

Woha and its licensors own all rights in the Services, including software, code, interfaces, designs, branding, trademarks, databases, workflows, documentation, graphics, and Woha-created content. Except for the limited license granted above, no intellectual-property rights are transferred to you.

You may not use the Woha name, logo, branding, or trademarks without prior written permission.

21 / Feedback

Feedback

If you provide ideas, suggestions, or feedback, you grant Woha a perpetual, worldwide, non-exclusive, royalty-free right to use and incorporate the feedback without payment or attribution. This does not transfer ownership of your private messages, listings, or other User Content.

22 / Privacy

Privacy

Woha’s collection and use of personal information are described in the Woha Privacy Policy. By using the Services, you acknowledge the practices described in that policy.

23 / Availability

Service availability and changes

Woha is continuously developing. We may add, remove, test, modify, suspend, or discontinue features; change usage limits or eligibility; update platform rules; or stop supporting certain devices or locations.

We do not guarantee that the Services will always be available, uninterrupted, secure, or error-free. We may take immediate action without advance notice when necessary for security, fraud prevention, legal compliance, payment risk, user safety, or operational integrity.

24 / Termination

Suspension and termination

You may stop using Woha at any time and may request account deletion through an available setting or by contacting support@woha.app.

Woha may warn, restrict, suspend, or terminate an account or transaction when reasonably necessary because of suspected fraud, prohibited items, safety risk, account compromise, payment risk, legal requirements, repeated cancellations, abuse, policy violations, or discontinuation of the Services.

Where appropriate and legally permitted, Woha may provide notice and an opportunity to respond. Sections that by their nature should survive termination remain effective, including payment obligations, transaction records, intellectual property, disclaimers, limitations of liability, indemnification, disputes, and permitted retention of User Content.

25 / Warranties

Disclaimers of warranties

To the maximum extent permitted by law, Woha and the Services are provided on an “as is” and “as available” basis.

Woha disclaims express and implied warranties, including merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, and reliability.

Woha does not warrant that users are truthful or reliable; that items are authentic, safe, legal, functional, accurately described, or available; that payment or payout will be completed at a particular time; that pickup or seller delivery will occur; that disputes will be resolved in a user’s favor; or that the Services will be uninterrupted or error-free.

Some jurisdictions do not allow certain warranty exclusions. In those jurisdictions, the exclusions apply only to the extent permitted by law.

26 / Liability

Limitation of liability

To the maximum extent permitted by law, Woha Inc. and its officers, directors, employees, contractors, and agents will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost data, loss of goodwill, substitute-purchase costs, or business interruption.

Woha is not responsible for losses arising from user conduct; item defects, recalls, illegality, theft, counterfeiting, misdescription, or unavailability; offline payments; missed pickup or delivery; driving, loading, unloading, installation, property damage, or personal injury caused by users; payment-provider or bank actions; unauthorized account access not caused by Woha’s failure to use reasonable security measures; or events beyond Woha’s reasonable control.

To the maximum extent permitted by law, Woha’s total liability arising out of or relating to the Services will not exceed the greater of (a) the amount you paid directly to Woha in platform service fees during the twelve months before the event giving rise to the claim or (b) one hundred U.S. dollars.

These limitations do not apply to liability that cannot lawfully be excluded or limited, and they do not limit mandatory consumer rights.

27 / Indemnification

Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless Woha Inc. and its officers, directors, employees, contractors, and agents from claims, damages, liabilities, losses, and reasonable expenses arising from your unlawful use of Woha, your material violation of these Terms, your listings or User Content, your transaction or interaction with another user, your infringement of another person’s rights, or your fraud or intentional misconduct.

This section does not require indemnification for losses caused by Woha’s own negligence, willful misconduct, or violation of law where such an exclusion would be prohibited.

28 / Governing law

Governing law and courts

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles.

Subject to mandatory consumer rights and any law requiring another forum, a dispute arising out of or relating to these Terms or the Services shall be brought in a state or federal court of competent jurisdiction located in Delaware. Nothing in these Terms deprives you of non-waivable protections available under the laws of your place of residence.

29 / Changes

Changes to these terms

We may update these Terms as Woha, its marketplace rules, payments, or applicable law changes. We will update the “Last updated” date. For material changes, we may provide notice through the Services, by email, or through another reasonable method.

Your continued use after updated Terms become effective constitutes acceptance, except where applicable law requires express consent.

30 / General

General provisions

These Terms and the Privacy Policy constitute the agreement between you and Woha concerning the Services unless another written agreement applies.

If a provision is found unenforceable, the remaining provisions remain effective. A failure to enforce a provision is not a waiver. You may not assign your rights under these Terms without written consent. Woha may assign these Terms as part of a financing, merger, reorganization, acquisition, corporate restructuring, or transfer of the Services, subject to applicable law.

There are no third-party beneficiaries except as expressly stated, including Apple and its subsidiaries under Section 19.1.
